BYLAWS OF THE
NATIONAL ASSOCIATION FOR MEDICAID PROGRAM INTEGRITY *

ARTICLE I THE NAME OF THIS ORGANIZATION SHALL BE
National Association for Medicaid Program Integrity (NAMPI)*

ARTICLE II PURPOSE
The purpose of this association shall be to promote communication, information sharing and mutual support among colleagues responsible for Medicaid program integrity functions.

ARTICLE III MEMBERSHIP AND VOTING
Membership
State Agency Member
  • An individual currently employed by a state agency charged with Medicaid program integrity functions.
Other Government Employee Member
  • A government employee other than an employee of the state agency charged with Medicaid program integrity functions.
Retired Member
  • An individual who previously met the requirements for membership, but is no longer employed in that capacity.
Associate Member
  • An individual who does not meet one of the other member definitions.
Voting
Voting membership in this organization shall be limited to state agency members casting one vote per state. With the exception of the election of regional representatives (Article VI E), only state agency members may vote, and only state agency members may hold a position on the executive committee.
A state in good standing (at least one state agency member with paid dues), not in attendance, may cast its vote by formal written proxy to another state in good standing and in accordance.

ARTICLE IV OFFICERS
A. An executive committee of elected officers and the current regional representative chairperson shall consist of president, vice-president, secretary, and treasurer, elected from the state agency membership of the organization. Former officers of the past two years, who are still participating in the organization and have paid their dues, may participate on the executive committee as non-voting members.
B. The vice-president shall be elected at annual meeting, and shall succeed the president.
C. The secretary shall keep minutes of all meetings.
D. The treasurer shall collect all dues, account for all funds of the organization, dispense funds as needed with approval of other officers of the association.
Expenditures totaling $500 or more shall require a majority vote of the executive committee.
The treasurer may place NAMPI funds in an insured interest bearing account.
The treasurer shall submit quarterly financial reports to the executive committee.
The fiscal year of this association shall be January 1 through December 31 of each year.
E. Nominations:
Designation of the office of vice president, secretary and treasurer may be made by nomination without eulogy, provided that nothing shall prohibit the election of any eligible member who has not been nominated.
F. Succession of Officers:
Succession of leadership to fill a vacancy in the office of president shall be:
Vice-President
Secretary, then
Treasurer
Should a vacancy occur in the office of vice-president, an election will take place at the next meeting, with the person elected becoming the president immediately. A vice-president shall be elected also, as directed in Section B.
Should a vacancy occur in the office of the secretary or treasurer, the president shall appoint a person to fill the vacancy for the duration of the term. At the change of incumbent treasurer, the regional representatives will arrange for a closing audit. The cost of the audit will be covered by the organization. The audit report will be available prior to the next conference.
Should a vacancy occur with the regional representative chairperson, the president will appoint a person to fill the vacancy for the duration of the term.
G. The president shall preside for one year, the vice-president shall succeed the president, and serve one year as president. In the absence of the president, the vice-president shall preside.
The term of the secretary shall be two years.
The term of the treasurer shall be two years.
The president and vice-president may serve for no more than four consecutive years. Following an interruption of one year, a previous office holder may be nominated again.
H. No state shall have more than one elected officer serving during the same term. This does not exclude former officers of the past two years who are still participating in the organization, and have paid their dues from serving on the executive committee.
I. The president with concurrence from a majority of the executive committee may contract on behalf of the association for conference planning services, with hotels for conferences, a Web site, email services and other services deemed beneficial to the association. Any such contracts will be available to the membership for review upon request.

ARTICLE V DUES
Membership dues for this organization shall be $25 per year, to be included in the registration fee of the annual meeting.
Persons who do not attend the annual meeting may become members of this association by paying the annual fee by December 31 of each year.
Membership dues for retired members shall be $5 per year.
Any member whose dues are two years in arrears will be suspended.

ARTICLE VI STANDING COMMITTEES
A. Nominating:
The regional representative committee will be the standing nominating committee.
Any member in good standing, except an associate member, may nominate a member for office.
B. Bylaws:
The president will have the power at the time of his/her installation to appoint a new bylaws committee, which will be responsible for any changes in the bylaws.
C. Convention Budget, Planning and Entertainment:
The president may appoint persons from the next host state and general membership to work with the executive committee in planning the next conference.
D. Appointment of Committee Chairperson:
It shall be the responsibility of the president to appoint a person to chair each committee as needed. The chairperson will have the option of appointing other members to assist.
E. The general membership, except for associate members, of each CMS region will elect one regional representative at the annual meeting to serve as regional liaison. Each representative will serve until the next meeting. The regional representative chairperson must be a state agency member and will be appointed by president at the annual meeting and chair the committee during the following year.**

ARTICLE VII ANNUAL MEETING
There shall be an annual meeting of the membership.
A decision will be made by the executive committee as to who will host the convention for the following year. All members will be notified in the first newsletter following the convention.

ARTICLE VIII NEWSLETTER
A newsletter shall be sent to all members. The vice-president shall be responsible for this undertaking.

ARTICLE IX AMENDMENTS TO THE BYLAWS
Amendments to the bylaws must be voted on by simple majority of the states.

**The regional representative chair may be appointed from the regional representative committee members or from the members at large, so that the committee during any year may consist of either 10 or 11 members.
